Distributor Agreement

Distributor Protections (In countries where Reed Mariculture Inc (RMI) has a designated distributor)

• RMI will list the distributors for each country on our website at www.reed-mariculture.com/distributor.
• RMI will not drop ship for other distributors into a country where we have distributor.
• RMI will direct all customer inquiries to the distributor for their country

Transactions we cannot protect:

• RMI cannot prevent distributors from one country from selling into other countries, even in countries where we have distributors.  However there is an economic disadvantage that protects the local distributor. For example, if we ship to a distributor in country A and they sell to a customer in country B, there will be two shipping charges (RMI to country A, then to country B) and potentially two tariff charges. This will be a much more expensive transaction than if the customer purchased through their local distributor.

RMI Protections:

• Direct Shipments to Customers. In some cases a customer will insist on ordering through RMI directly. In this case RMI will either charge the full retail price to the customer, or will pay the distributor the difference between the invoice price and the distributor price
